Please read these terms carefully before accessing or using the services.

Access & our Terms:

These Terms of Use (“Terms”) apply to your use of the Your Canteen mobile applications as well as to all other information, recommendations and/or services provided to you on or through the Your Canteen app.

The Services constitute a technology platform that enables users of Your Canteen’s mobile applications provided as part of the Services to place orders, schedule delivery, and/or vendor services with independent third party providers of such services, including independent third party transportation providers, independent third party logistics and/or delivery providers and/or independent vendors such as restaurants (“Third Party Providers”). You acknowledge that Your Canteen does not provide transportation, logistics, delivery or vendor services or function as a transportation provider or carrier and that all such transportation, logistics, delivery and vendor services are provided by independent third party contractors who are not employed by Your Canteen or any of its affiliates.

Acceptance of terms: By accessing any part of Your Canteen Service, you indicate that you accept these Terms. If you do not agree to these Terms, you may not access or use the Services. These Terms expressly supersede prior agreements or arrangements with you. Revision of terms:  You will be subject to the Policies and Terms in force at the time that you place an Order through us. Your Canteen may terminate these Terms or any Services with respect to you, or generally cease offering or deny access to the Services or any portion thereof, at any time for any reason. Your Canteen will provide you with as much notice as it reasonably can of such termination, cessation or denial. However, Your Canteen reserves the right to terminate these Terms or any Services with respect to you, or generally cease offering or deny access to the Services or any portion thereof, immediately at any time without notice if (i) you are in breach of these Terms, (ii) it is impractical to give such notice in the circumstances, or (iii) in Your Canteen’s opinion, any delay in such termination would expose Your Canteen to significant risk of harm or damage.

Your Canteen may amend the Terms related to the Services from time to time. Amendments will be effective upon posting of such updated Terms at this location or the amended policies or supplemental terms on the applicable Service. Your continued access or use of the Services after such posting constitutes your consent to be bound by the Terms, as amended. User accounts: In order to access Your Canteen services you are required to to submit to Your Canteen certain personal information, such as your name, address, mobile phone number and age, as well as at least one valid payment method (either a credit card or accepted payment partner). You agree to maintain accurate, complete, and up-to-date information in your Account. Your failure to maintain accurate, complete, and up-to-date Account information, including having an invalid or expired payment method on file, may result in your inability to access and use the Services or Your Canteen’s termination of this Agreement with you. You are responsible for all activity that occurs under your Account, and you agree to maintain the security and secrecy of your Account username and password at all times.

Text Messaging: By creating an Account, you agree that the Services may send you text (SMS) messages as part of the normal business operation of your use of the Services.

Responsibility: The Service is not available for use by persons under the age of 18. You may not authorise third parties to use your Account, and you may not allow persons under the age of 18 to receive delivery or vendor services from Third Party Providers unless they are accompanied by you. You may not assign or otherwise transfer your Account to any other person or entity. You agree to comply with all applicable laws when using the Services, and you may only use the Services for lawful purposes. You will not, in your use of the Services, cause nuisance, annoyance, inconvenience, or property damage, whether to the Third Party Provider or any other party. In certain instances you may be asked to provide proof of identity to access or use the Services, and you agree that you may be denied access to or use of the Services if you refuse to provide proof of identity.

Alcohol: You acknowledge and agree that: it is an offence for any person under the age of 18 to buy, or attempt to buy, alcohol, or for any person to buy, or attempt to buy, alcohol on behalf of any person who is under the age of 18. If your Order includes any alcohol you will be asked to provide proof of your age on collection or delivery of your Order. If you are unable to provide proof that you are aged 18 or over to the satisfaction of your chosen Restaurant, or if the Restaurant reasonably believes that the alcohol you have ordered have been bought by you on behalf of someone under the age of 18, the Restaurant reserves the right not to complete the delivery of the alcohol to you.

Placing order: Once you have selected the Products you wish to order from the menu of your chosen Restaurant and provided the other required information, you will be given the opportunity to submit your Order. It is important that you check all the information that you enter and correct any errors before clicking or selecting this button; once you do so you will be entering into a contract with the Restaurant and errors cannot be corrected.

Amending or cancelling your Order: Once you have submitted your Order and your payment has been authorised, you will not be entitled to change or cancel your Order, nor will you be entitled to a refund. If you wish to change or cancel your Order, you may contact the Restaurant in order to communicate your requests. However, there is no guarantee that the Restaurant will agree to your requests as they may have already started processing your Order. Payment authorisation: Where any payment you make is not authorised, your Order will not be processed or communicated to the relevant Restaurant.

Processing your Order and Restaurant rejections: On receipt of your Order, Your Canteen will notify Restaurant. Please note that order confirmation page that you may see on the Your Canteen mobile application confirm that you have a contract for the sale of Products with a Restaurant but does not necessarily mean that your Order will be fulfilled by the Restaurant. We encourage all our Restaurants to accept all Orders and to communicate any rejection promptly, and we will notify you as soon as reasonably practicable if a Restaurant rejects your Order. In doing so, Restaurants will be in breach of their agreement with you and any payment made in respect of the order will be returned to you.

Delivery of your Order: Estimated times for deliveries and collections are provided by the Restaurants and are only estimates. Neither we nor the Restaurants guarantee that Orders will be delivered or will be available for collection within the estimated times. VAT and delivery costs: Prices presented on Your Canteen mobile application include VAT but may exclude delivery costs (if you opt for delivery instead of collection) and any administration or service charge imposed by the Restaurant. These will be added to the total amount due where applicable

Payment methods: You understand that use of the Services may result in charges to you for the services or goods you receive from a Third Party Provider.  After you have received services or goods obtained through your use of the Services, Your Canteen will facilitate your payment of the applicable Charges on behalf of the Third Party Provider as disclosed payment collection agent for the Third Party Provider. Payment of the Charges in such manner shall be considered the same as payment made directly by you to the Third Party Provider. Charges will be inclusive of applicable taxes where required by law. All Charges are due immediately and payment will be facilitated as soon as practicable by Your Canteen using the preferred payment method designated in your Account. As between you and Your Canteen, Your Canteen reserves the right to establish, remove and/or revise Charges for any or all services or goods obtained through the use of the Services at any time in Your Canteen’s sole discretion.

Your Canteen may from time to time provide certain users with promotional offers and discounts that may result in different amounts charged for the same or similar services or goods obtained through the use of the Services, and you agree that such promotional offers and discounts, unless also made available to you, shall have no bearing on your use of the Services or the Charges applied to you.

Your Canteen does not designate any portion of your payment as a tip or gratuity to the Third Party Provider. You understand and agree that, while you are free to provide additional payment as a gratuity to any Third Party Provider who provides you with services or goods obtained through the Service, you are under no obligation to do so. Gratuities are voluntary.

Card payments: Please note that from time to time there may be delays with the processing of card payments and transactions; this may result in payments taking up to sixty (60) days to be deducted from your bank account or charged to your credit or debit card.

Discount codes: Your Canteen may, in Your Canteen’s sole discretion, create promotional codes that may be redeemed for Account credit, or other features or benefits related to the Services and/or a Third Party Provider’s services, subject to any additional terms that Your Canteen establishes on a per promotional code basis (“Promo Codes”). You agree that Promo Codes: (i) must be used for the intended audience and purpose, and in a lawful manner; (ii) may not be duplicated, sold or transferred in any manner, or made available to the general public (whether posted to a public forum or otherwise), unless expressly permitted by Uber; (iii) may be disabled by Your Canteen at any time for any reason without liability to Your Canteen; (iv) may only be used pursuant to the specific terms that Your Canteen establishes for such Promo Code; (v) are not valid for cash; and (vi) may expire prior to your use. Your Canteen reserves the right to withhold or deduct credits or other features or benefits obtained through the use of Promo Codes by you or any other user in the event that Your Canteen determines or believes that the use or redemption of the Promo Code was in error, fraudulent, illegal, or in violation of the applicable Promo Code terms or these Terms.

Rejected Orders: Because of standard banking procedures, once you have submitted an Order that you are paying for by credit or debit card and your payment has been authorised, your bank or card issuer will "ring-fence" the full amount of your Order. If your Order is subsequently rejected by the Restaurant or cancelled for any other reason, your bank or card issuer will not transfer the funds for the Order to us, and will instead release the relevant amount back into your available balance. However, this may take between 3 to 5 working days (or longer, depending on your bank or card issuer). You acknowledge and agree that neither we nor the relevant Restaurant will be responsible or liable to you in relation to this delay by your bank or card issuer in the release of funds back into your account

Order support: If your Order is taking longer than expected or you have any other problems with your Order, you can contact the vendor to follow up on your query. If you wish to change or cancel your Order after it has been submitted and payment has been authorised, you may contact vendor in order to communicate your requests. However, there is no guarantee the Restaurant will agree to your requests.

If you are dissatisfied with the quality of any Products or the service provided by a Restaurant and wish to seek a refund, a proportionate price reduction or any other compensation, you should contact the Restaurant directly to lodge your complaint and, where appropriate, follow the Restaurant's own complaint procedures.

Restrictions on use: You may not: (i) remove any copyright, trademark or other proprietary notices from any portion of the Services; (ii) reproduce, modify, prepare derivative works based upon, distribute, license, lease, sell, resell, transfer, publicly display, publicly perform, transmit, stream, broadcast or otherwise exploit the Services except as expressly permitted by Uber; (iii) decompile, reverse engineer or disassemble the Services except as may be permitted by applicable law; (iv) link to, mirror or frame any portion of the Services; (v) cause or launch any programs or scripts for the purpose of scraping, indexing, surveying, or otherwise data mining any portion of the Services or unduly burdening or hindering the operation and/or functionality of any aspect of the Services; or (vi) attempt to gain unauthorised access to or impair any aspect of the Services or its related systems or networks.

The Services and all rights therein are and shall remain Your Canteen’s property or the property. Neither these Terms nor your use of the Services convey or grant to you any rights: (i) in or related to the Services except for the limited license granted above; or (ii) to use or reference in any manner Your Canteen’s company names, logos, product and service names, trademarks or services marks.

User Provided Content: Your Canteen may, in Your Canteen’s sole discretion, permit you from time to time to submit, upload, publish or otherwise make available to Your Canteen through the Services textual, audio, and/or visual content and information, including commentary and feedback related to the Services, initiation of support requests (“User Content”). Any User Content provided by you remains your property. However, by providing User Content to Your Canteen, you grant Your Canteen a worldwide, perpetual, irrevocable, transferable, royalty-free license, with the right to sublicense, to use, copy, modify, distribute, publicly display, publicly perform, and otherwise exploit in any manner such User Content in all formats and distribution channels now known or hereafter devised (including in connection with the Services and Your Canteen’s business), without further notice to or consent from you, and without the requirement of payment to you or any other person or entity. You represent and warrant that: (i) you either are the sole and exclusive owner of all User Content or you have all rights, licenses, consents and releases necessary to grant Your Canteen the license to the User Content as set forth above; and (ii) neither the User Content nor your submission, uploading, publishing or otherwise making available of such User Content nor Your Canteen’s use of the User Content as permitted herein will infringe, misappropriate or violate a third party’s intellectual property or proprietary rights, or rights of publicity or privacy, or result in the violation of any applicable law or regulation. You agree to not provide User Content that is defamatory, libelous, hateful, violent, obscene, pornographic, unlawful, or otherwise offensive, as determined by Your Canteen in its sole discretion, whether or not such material may be protected by law. Your Canteen, but shall not be obligated to, review, monitor, or remove User Content, at Your Canteen’s sole discretion and at any time and for any reason, without notice to you.

Limitation of liability: To the extent permitted by applicable law, Your Canteen will not be liable to you in any way (whether such liability arises in contract (by way of indemnity or otherwise), tort (including negligence) misrepresentation, breach of statutory duty, restitution or otherwise) for: any theft or loss of your or any other person's property in connection with the Booking Services or any booking accepted by Your Canteen; a. any booking that has not been accepted; b. any loss, damage, costs, expenses or liability suffered by anyone other than you in connection with your use of the Your Canteen app; c. any losses that could not reasonably be expected to result from our negligence or breach of these Terms and Conditions; d. any loss relating to your business or the business of your employer or any other person; e. any loss of profits, loss of revenue, loss of opportunity, loss of business or employment (whether or not such loss could be reasonably expected to flow from our negligence or breach of these Terms and Conditions); or f. any other loss, damage, costs, expenses or liability that you suffer in connection with the Booking Services, save to the extent that Your Canteen fails to perform its obligations to you to the standard of a diligent and professional provider of the relevant services.

Applicable law: The Services and all non-contractual obligations arising in any way whatsoever out of or in connection with the Service Terms shall be governed by, construed and take effect in accordance with the laws of England and Wales. Any dispute, claim or matter of difference arising out of or relating to the Terms is subject to the exclusive jurisdiction of the courts of England and Wales.
